Who you are dealing with

CodeFund is a service operated by BlueGrey Ventures. Your agreement is with BlueGrey Ventures, and these terms are between you and it.

What we do

We build the software you describe, put it live, and keep it running. A named senior human developer scopes it, writes it, and ships it. The code is written by people, not generated.

What you pay

One fixed amount each month for twelve months, quoted and agreed before any work starts. The first monthly payment is due when the project is initiated and is what begins the build; the remaining eleven follow monthly. There is no deposit and no additional sum payable up front — the first payment is the first of the twelve, not an extra. The monthly figure covers development, hosting, domains, certificates, monitoring, backups, maintenance and reasonable changes for the whole term.

Nothing is charged as interest

The finance is at 0%. There is no interest, no arrangement fee, no administration charge and no final balloon payment. Twelve payments multiplied together are the entire cost of the work.

Delivery

We guarantee your app is live within 30 days of the build starting. Where additional scope is agreed after the build begins, it is quoted separately and its delivery is agreed separately; it does not extend or void the guarantee on the original scope. If a delay is caused by us, we will agree a remedy with you in writing.

Consumables

Metered third-party costs incurred on your behalf are billed separately at exactly what they cost us, with no margin — for example model APIs, email and SMS delivery, payment processing fees, and paid data or mapping services. These are billed at actuals because usage cannot be honestly fixed in advance. We will tell you before adding any new consumable to your app.

Who owns the code

We retain ownership of the source code, and grant you full use of it, until the twelfth monthly payment is received. On that payment ownership transfers to you in full — source, assets and copy — and you may take it anywhere. You may settle the outstanding balance early at any time, without penalty, and ownership transfers on the day you do.

If payments stop

Because ownership has not yet transferred, we may suspend the service if payments stop and are not resolved. We would always rather rework a plan than switch off a working business, so talk to us first. Any payments already made are not refundable.

After the twelve months

The payments end and the code is yours. Continued hosting, maintenance or new work is quoted separately if you want it. Nothing renews automatically.

Confidentiality

The mutual non-disclosure agreement you accept when applying binds both parties. What you tell us about your product stays confidential, and so does anything we disclose to you while quoting or building. It survives the end of this agreement.

People make the calls

Your developer writes the code and makes the judgement calls about it. If a requested build is unlawful, harmful, or simply a bad idea, they will say so rather than quietly building it.

The rest

No warranty beyond what the law requires, disputes go to arbitration, and these terms may change with 14 days notice.
